1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Upboard LLC ("Upboard," "we," "us," or "our") governing your access to and use of our website (upboard.work), employee onboarding automation software, applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Upboard provides an employee onboarding automation platform designed to help organizations build customized onboarding journeys, automate communications, deliver milestone surveys, and track employee progress. Features may include email and SMS notification workflows, manager coordination, feedback analytics, and integration tools.

3. User Accounts & Customer Responsibilities

To access certain features of the Services, customers must create an account. When registering, you agree to provide accurate, current, and complete information and to keep your login credentials confidential. Customer organizations are responsible for all activities that occur under their accounts.

Customer organizations enrolling employees are responsible for obtaining appropriate authorization or consent to provide employee contact details to Upboard for onboarding purposes.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Transmit unauthorized marketing, spam, or unsolicited promotional messages.
  • Impersonate any person, business, or entity, or misrepresent your affiliation.
  • Interfere with, disrupt, or compromise the integrity or security of the Services or networks.
  • Reverse engineer, decompile, or disassemble any aspect of the platform.

5. SMS & Text Messaging Program

As part of the Services, Upboard sends transactional text messages (SMS and MMS) on behalf of employer customers to enrolled employees regarding their onboarding schedule, welcome notices, and milestone activities.

  • Voluntary: Receiving text messages is not a condition of employment or purchase.
  • Rates & Frequency: Message frequency varies by onboarding schedule. Message and data rates may apply.
  • Opt-Out: Text STOP to cancel at any time. Text HELP for assistance.
  • Consent: New hires may provide consent via employer enrollment or our New Hire SMS Consent Form.

6. Intellectual Property Rights

The Services and their original content, features, software, branding, and functionality are owned by Upboard LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPBOARD LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL UPBOARD LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

8. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the United States and the state where Upboard LLC maintains its principal place of business, without regard to its conflict of law principles.

9. Changes to These Terms

We reserve the right to revise or modify these Terms at any time. When modifications occur, we will update the "Effective Date" at the top of this page. Your continued use of the Services following any updates signifies your agreement to the revised Terms.
